To qualify and maintain good standing, all members agree to conduct themselves in a manner consistent with TRIUM Alumni Angels Membership Agreement and Code of Conduct. 

TRIUM Angels Club is open to all TRIUM alumni and affiliates, including students, faculty, staff, and parents or spouses of alumni or students.

 

To become a member of TRIUM Angels, follow these steps:

1. Select a Membership Option: Choose from available membership tiers and complete the payment for the first year. Eligibility requirements vary based on the selected membership type.

2. Onboarding: Once the dues are paid, you'll be automatically redirected to the member onboarding page to finalize your registration and prepare for participation.

- Full Members are set up to invest as accredited investors. To ensure compliance with U.S. Securities and Exchange Commission (SEC) regulations, our organization requires all Full Members to qualify as “accredited investors.” By meeting this standard, you have a recognized level of financial sophistication and the capacity to bear the economic risks associated with private, unregistered offerings. As Full Members you enjoy:

- Governance Participation
You have the right to actively engage in the decision-making and governance of the organization, including voting privileges and the ability to shape strategic initiatives.

Access to Investment Activities
Because of your accredited status, you may participate in all investment activities offered by the organization, including private placements, venture opportunities, and other specialized events typically reserved for accredited investors.

- Exclusive Events and Networking
Full Members gain invitations to exclusive meetings, forums, and educational programs that align with the unique needs and interests of accredited investors.

- Associate Members can engage in the group's whatsapp channels, and invited educational opportunities.

3. Deal Flow Access: Full Members can view the investment deal pipeline through our new member-only portal. This platform allows members to manage deals and the pre-investment process, typically granting view-only access unless you're part of the screening committee or an admin.

4. Pitch Events: Upcoming pitch events are listed in the members-only section of the website. You must be logged in to access event details. Non-members can only view public events.

5. Minimum Investment Amount: Each deal may have different minimum investment requirements. As a guideline, individual investments typically start at $10,000 USD or equivalent, while the club expects

6. Full Members to contribute an average target investment of $20,000 per year. If a Full Member is unable to meet the annual investment target, they may also contribute through volunteering and supporting the deal process, or the portfolio's growth services.

7. Deal Negotiations: Deals are usually led by one of the investors, known as the "Deal Lead". This person acts as the primary point of contact for the entrepreneur and guides the negotiation process. The TRIUM Angels team may provide additional support when necessary.

8. Due Diligence: Full Members handle the due diligence process, with support from the network if needed. Members can access company information through the deal management platform or conduct independent research.

9. Syndication & SPV: Investments are typically managed through a Special Purpose Vehicle (SPV), usually set up as a Delaware LLC or UK LLP. SPV expenses are shared among investors and vary depending on the size of the investment.

10. Investment Process: To express interest in an investment, Full Members submit a consideration form via the Member Portal. Deals are allocated on a "First Come, First Serve" basis.

11. Co-investment: TRIUM Angels may also co-invest with other angel networks or venture capital firms, ensuring that the entrepreneur has committed to providing sufficient allocation to TRIUM investors before extending opportunities to other networks.

12. Post-Investment Tracking: Investors can track their investments via the LP portal, which provides updates on company performance, valuation, and other key metrics.

13. Educational Resources: Regular educational events are held globally for members, and access to materials from the Angel Capital Association is available at no extra charge.
